I uninstalled CB 1.2 to install CB 1.2.1 and after unzipping the files to start the update, I get a installation error for com_comprofiler which is the first thing to download. The error states that "Another Componenet is using this directory". So I look under Components, Modules, Plugins, etc., and there isn't any file named com_comprofiler in any of the lists. So, I ask, how do I upload the file? I even tried adding a "2" on the end of the name and I still get same error message.

This is likely due to a permissions problem. When I delete files using the joomla installer they have to be the correct permissions or the uninstaller won't delete the old directories. I usually use expert/ftp mode myself.

I have to then go in and manually delete or rename the directories. I bet that you still have a com_comprofiler directory in your components OR in your administration.

Delete or rename it and give it another shot.
